These Terms of Sale (“Terms”) govern all products, services, and digital content (collectively, the “Pixel Print Service”) offered by Pixel Print USA Inc (“Pixel Print USA Inc,” “we,” “us,” or “our”) through our website https://pixelprintusa.com and any associated applications (the “Site”). By placing an order, you agree to be bound by these Terms, as well as our Terms of Use and Privacy Policy.
1. Binding Effect
BY PLACING AN ORDER, YOU AGREE TO THESE TERMS. PIXEL PRINT USA INC RESERVES THE RIGHT TO UPDATE OR AMEND THESE TERMS AT ANY TIME, WITH OR WITHOUT NOTICE. ORDERS PLACED AFTER CHANGES ARE MADE ARE SUBJECT TO THE MOST RECENT TERMS.
2. Product Availability and Acceptance
All products and services are subject to availability. Pixel Print USA Inc reserves the right to refuse or cancel orders for any reason, including but not limited to:
Content that is unlawful, infringing, obscene, defamatory, or discriminatory.
Orders containing material that violates intellectual property or third-party rights.
Orders with insufficient or incorrect information.
Order acceptance occurs only when Pixel Print USA Inc confirms the order via email or other notification.
3. Age Requirements
You must be at least 18 years old to place an order. Minors may use the Site only under the supervision of a parent or guardian. By placing an order, you represent that you meet this requirement.
4. Account Responsibility
You are responsible for maintaining accurate account information and safeguarding login credentials. Pixel Print USA Inc is not liable for any unauthorized access or misuse of your account.
5. Proofing and Final Approval
Final Proof Responsibility: You are solely responsible for reviewing and approving all proofs. This includes:
Spelling, grammar, punctuation
Graphics, bleeds, font sizing, orientation
File alignment and layout
All approvals are final. Pixel Print USA Inc is not responsible for errors in approved proofs.
Proof Validity: Proofs are available for a limited period. Customers must approve or request changes within the designated timeframe. Additional proofing may incur extra fees.
6. Overages and Shortages
We may produce a small percentage over or under your ordered quantity (up to 5%). Shortages or overages are industry standard and do not constitute a basis for refund. Significant discrepancies (>5%) should be reported immediately.
7. Design and Logo Services
Design Services:
Provided at our discretion; we may refuse orders.
Customers approve final designs before printing.
Delivery timelines are estimates; Pixel Print USA Inc is not liable for delays.
We reserve the right to use submitted designs for internal marketing purposes.
Logo Services:
Provided at our discretion; we may refuse or cancel orders.
Pixel Print USA Inc does not provide legal advice regarding trademark or copyright issues.
Customers approve final logos before printing or distribution.
Pixel Print USA Inc may use logo designs for internal business purposes or marketing.
8. Artwork and User Content
By submitting content (images, logos, designs):
You confirm ownership or authorization to use it.
You grant Pixel Print USA Inc a royalty-free, worldwide license to use the content for order fulfillment, internal operations, and promotion.
Pixel Print USA Inc may remove content violating laws or these Terms.
We are not responsible for deleted content after order completion or for loss of digital assets.
9. Artwork Specifications
Resolution: Minimum 300 DPI (unless specified otherwise).
Color Mode: CMYK preferred; RGB files may experience color shifts.
File Size: Additional charges may apply for files over 30MB.
Pixel Print USA Inc is not liable for:
Low-resolution or incorrectly prepared files
Color deviations due to RGB-to-CMYK conversion
Overprint or non-flattened file errors
10. Payment Terms
All orders must be paid in full prior to processing. Accepted methods: Cash, Card, Zelle, Venmo, CashApp. High-value orders may require authorization forms or identification verification. Customers are responsible for taxes, shipping fees, and any additional charges.
11. Sales Tax
Sales tax may apply unless proper exemption documentation is provided. Customers are responsible for providing accurate tax information.
12. Coupons, Discounts, and Promotions
Single-use only; cannot be combined with other offers.
Apply discounts at checkout.
Promotions are limited to the continental U.S., unless stated otherwise.
Pixel Print USA Inc may suspend or cancel promotions at any time without notice.
13. Returns, Refunds, and Cancellations
All sales are final unless otherwise stated.
First-time retail orders with subtotal up to $100 may qualify for refunds if reported within six (6) business days.
Order cancellations must occur prior to approval and production; fees may apply.
Defective products must be reported within six (6) business days; Pixel Print USA Inc may require return of items before replacement.
14. Shipping and Delivery
Pixel Print USA Inc uses commercially reasonable efforts to meet delivery timelines.
Customers are responsible for providing accurate shipping information.
Delivery estimates vary; delays due to carriers, weather, holidays, or other factors are not the responsibility of Pixel Print USA Inc.
Title and risk pass to the customer upon transfer to the shipping carrier.
Special Shipping Methods:
Next Day or AM/PM delivery may be available for select U.S. locations.
Freight and international shipping may incur additional charges or restrictions.
Customers are responsible for customs, duties, and import fees for international shipments.
15. Limitation of Liability
To the extent permitted by law, Pixel Print USA Inc is not liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid for the affected order.
16. Governing Law and Dispute Resolution
Governing Law: New York, USA
Disputes must be filed within one year of the incident.
Arbitration in New York, NY, following the rules of the American Arbitration Association.
Class action waivers apply; disputes must be resolved individually.
17. Miscellaneous
Headings are for convenience and do not affect interpretation.
Invalid provisions do not affect the remaining Terms.
These Terms, together with Privacy Policy and Terms of Use, constitute the entire agreement.
